These terms govern your use of https://mts-llc.tech and any services delivered by MTS Moose Tech Solutions L.L.C.("MTS"). By using the site or engaging us, you agree to them.
1. Services
MTS provides CRM setup, AI agent deployment, workflow automation, web design, and related consulting. Specific scope, deliverables, timeline, and fees are defined in a signed Statement of Work (SOW) or proposal. These Terms apply unless the SOW says otherwise — where they conflict, the SOW wins.
2. Fees and payment
Unless stated otherwise in the SOW: 50% is due to start, 50% on launch. Retainers are invoiced monthly in advance. Invoices are due within 14 days. Late balances accrue 1.5% per month.
3. Ownership
You own your assets. All workflows, automations, copy, designs, and configurations built specifically for you become yours on final payment. You get full admin access. Our pre-existing tooling, templates, and methodology remain ours — you get a non-exclusive, perpetual license to use them as delivered inside your systems.
4. Third-party platforms
We build inside platforms you own or subscribe to (GoHighLevel, HubSpot, Stripe, Twilio, etc.). You are responsible for their fees and for complying with their terms. MTS is not liable for platform outages, pricing changes, or API deprecation.
5. Your responsibilities
- Provide accurate information, credentials, and timely decisions.
- Review deliverables within agreed milestones.
- Comply with all laws that apply to how you contact your own customers (TCPA, CAN-SPAM, GDPR, state privacy laws).
6. Confidentiality
Each side will keep the other's non-public information confidential and use it only to perform this engagement. This obligation survives termination for 2 years.
7. Warranties
We warrant our work will be delivered in a professional manner and will materially match what we scoped. If something we built breaks because of our mistake within 30 days of launch, we fix it at no charge.
Disclaimer. Beyond that, the site and services are provided "as is." We make no guarantees about lead volume, conversion rate, revenue outcomes, search rankings, or deliverability — those depend on factors outside our control.
8. Limitation of liability
To the fullest extent permitted by law, neither side is liable for indirect, incidental, or consequential damages (lost profits, lost data, business interruption). Our total aggregate liability for any claim is capped at fees actually paid to MTS in the 3 months preceding the event giving rise to the claim.
9. Indemnification
You will indemnify MTS for third-party claims arising from your content, your customers, or your use of the systems we deliver (including messaging-compliance claims). We will indemnify you for third-party IP claims that our delivered work infringes, provided you notify us promptly and let us control the defense.
10. Termination
Either side may terminate a project for material breach with 10 days' written notice if the breach is not cured. On termination, you pay for work completed through the termination date and get access to everything built to that point. Retainers require 30 days' notice.
11. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Virginia.
12. Changes
We may update these Terms from time to time. Material changes will be posted here with a new "last updated" date. Continued use of the site after changes means you accept them.
